Job Description
We are partnered with a global commercial-stage biopharmaceutical company that specializes in delivering innovative therapies across multiple therapeutic areas. They are looking to expand their legal team with a Senior Corporate Paralegal to specialize in corporate, transactional, and governance matters.
Responsibilities
- Coordinate with domestic partners to ensure timely preparation, execution, and filing of corporate documentation in compliance with regulatory requirements.
- Manage Section 16 filings, D&O questionnaires, and coordinate shareholder meetings and board documentation.
- Maintain and administer the subsidiary database (Diligent), and oversee domestic and international corporate filings.
- Respond to internal and external inquiries, support Know Your Customer (KYC) processes, and assist other business functions as needed.
- Coordinate due diligence efforts for major transactions.
Qualifications
- Bachelor's degree preferred.
- At least 5 years of corporate paralegal, SEC filing, and database management experience.
- Skilled in establishing legal entities and managing related documentation and filings across jurisdictions.
- Familiarity with state filing requirements.
